+What is the Incorporation Procedures?1. Client fills up Basic Info Form
2. Once the information is received and the name is confirmed, we will email you our quotation for payment. Upon receipt of payment, the company name will be reserved at your request.
3. Once name approved by SSM, we will prepare full set of registration documents.
4. Signing of documents through Eversign.
5. Once the signing of documents is done, we will proceed to incorporate the company with Companies Commission of Malaysia (SSM).
6. Issuance of Notification of Incorporation by SSM.
7. Once the company is incorporated, we will email you all the relevant documents and Section Form for records. -
+What are the Incorporation Procedures?Based on Consistant Info’s past experiences dealing with SSM, the entire incorporation process will take 3-5 working days from the date that directors & shareholders sign the incorporation documents. Having said that, please note that the incorporation timeline is very dependent on the accuracy and completeness of information and documents and also subject to the availability & stability of SSM’s MyCoID online system.

+Do I have to appoint a Company Secretary for my Sendirian Berhad (Sdn. Bhd.)?According to Section 236 of the Companies Act 2016, all Sendirian Berhad (Sdn. Bhd.) must appoint a Company Secretary within 30 days from its date of incorporation. If you incorporate your Sendirian Berhad (Sdn. Bhd.) through Consistant Info Sdn. Bhd., Consistant Info Sdn. Bhd. will automatically appoint your Company Secretary.

+I am a foreigner. Can I incorporate a Sendirian Berhad (Sdn. Bhd.) in Malaysia?Yes, you can. However, every Company needs to have at least one (1) director with ordinary residence in Malaysia. That can be yourself or a person residing in Malaysia. If you’re the sole director of the company and you are not a Malaysian citizen, we may request for your visa details.

+How many shareholders are needed in Sendirian Berhad (Sdn. Bhd.)?The Company Limited by Shares shall have a minimum number of one (1) shareholder and maximum number of 50 shareholders only.

+What is the basic information required to incorporate a Company?To incorporate a Company needs to provide us with the following information: –
• Proposed Company Name
• The main business activities of the new company established
• Copies of ID cards or passports of all directors and shareholders
• Information on paid-up capital (minimum RM 1 or maximum RM10,000)
• Shareholding ratio of each shareholder -
+What is Company Number?The Company Number means:
1. In relation to a company, the number allocated to it by SSM on its incorporation
2. In relation to a foreign company, the umber allocated to it by the SSM on its registration; and
3. In relation to a proposed company, the reference number allocated to when a proposed name is approved by SSM
Upon incorporation of a Company, the company number and the name of the company must appear on the seal and all business letters, statements of account, invoices, official notices, publications, bill of exchange, cheques or letters of credit of or purporting to be issued or signed by or on behalf of the company under the Section 30(2) of the Companies Act, 2016.
